The Vedder Price Railcar Finance practice group has comprehensive knowledge of, and experience in, domestic and international leasing and debt financing of rolling stock and locomotives. As part of Vedder Price’s Global Transportation Finance team, we are well versed in all facets of railcar finance and represent clients in every aspect of these transactions.

We represent clients in transactions as simple as railcar sales to complex securitizations of portfolios of railcars with values in excess of $1 billion. We have extensive experience representing borrowers, lenders and third-party servicers in railcar warehouse and term loan facilities involving bankruptcy-remote special-purpose borrowers, as well as issuers and third-party servicers in railcar securitization transactions. We represent lessees in single-investor lease financings and debt participants in leveraged lease and capital lease financings, often involving private placement debt. We have also counseled export credit agencies in debt and lease financings of railcars and locomotives, including transactions involving Class I railroads and cross-border transactions into multiple jurisdictions. We work with both servicers and investors on railcar servicing agreements and assist railcar lessors in documenting full-service, net and per diem leases.

Vedder Price has one of the most experienced bankruptcy groups in the equipment finance industry, and we have been involved in representing both railcar lessors and lenders in bankruptcy and foreclosure matters related to rolling stock. Our Insolvency, Bankruptcy & Corporate Reorganization group also provides counsel in structuring bankruptcy-remote facilities and issuing the related nonconsolidation and true sale opinions.
