Ms. Eades has extensive experience in all aspects of mutual fund, closed-end fund and investment adviser regulation and compliance, including product design, U.S. federal and state registration, representation of fund boards, portfolio compliance, derivative instruments, affiliated transactions and general regulatory matters.

Ms. Eades has extensive transaction experience representing closed-end funds including IPOs, secondary offerings, leverage transactions, complex mergers, product restructurings, proxy statements and activist strategies. Ms. Eades has extensive experience structuring and leading mutual fund acquisitions, roll-ups, reorganizations and product restructurings. Ms. Eades regularly counsels clients on regulatory matters in connection with acquisitions of advisers.

Ms. Eades has represented clients on a broad range of matters, including:

• Leader of multiple closed end fund initial public offerings of complex or novel investment strategies including first-to-market fund investing in Master Limited Partnerships in the energy infrastructure industry.
• Leader of dozens of complex merger and reorganization transactions for leading closed-end sponsor, including funds with multiple types of leverage.
• Leader of closed-end fund leverage offerings and transactions involving multiple forms of debt and equity leverage of all types including Variable Rate Muni Preferred Shares.
• Leader of multiple mutual fund roll-ups/acquisitions and internal reorganizations for leading mutual fund sponsors, including in connection with adviser acquisitions.
• Counseled mutual fund client through reorganization of multiple funds from multiple series trust platform to stand alone fund complex, including guidance on all aspects of organizational, operational, compliance and board matters in connection with formation of de novo fund complex.
• Partnered with government investigations team to successfully resolve complex enforcement actions and investigations of the Securities and Exchange Commission, including self-reported matters.
• Co-led team conducting review of marketing timing and late trading policies, procedures and practices of national mutual fund complex.

Prior to joining Vedder Price, Ms. Eades served as Associate Counsel and Assistant Vice President with Janus Capital Corporation in Denver. She has served on various industry committees, including the Investment Company Institute’s Rules Committee and Electronic Commerce Working Group. Ms. Eades regularly speaks at industry conferences on mutual fund, investment adviser and hedge fund regulation.

Ms. Eades has been selected by her peers as a Leading Lawyer in Securities & Venture Finance from 2013 to 2021. The Legal 500 United States recommended Ms. Eades in the Investment Fund Formation and Management – Mutual/Registered Funds category since 2015. She was ranked by Chambers USA in the Nationwide Investment Funds: Registered Funds category - Band 5 since 2021 and by Chambers Global since 2023.

Ms. Eades is a member of the Chicago Bar Association, for which she formerly served as the Chair of the Investment Company Subcommittee. Ms. Eades is a member of the CFA Institute.
