Ms. Ustupski represents employers in all aspects of employee benefits, including the design, administration, and compliance of their health and welfare plans, defined contribution and defined benefit pension plans, and employee stock ownership plans (ESOPs). Ms. Ustupski regularly advises clients on fiduciary issues, identifying and correcting plan operational errors, benefit claims and disputes, and compliance with the Affordable Care Act (ACA), ERISA, the Internal Revenue Code, and HIPAA. Ms. Ustupski also analyzes employee benefit and design issues that arise in corporate transactions, such as restructurings and mergers and acquisitions, and advises clients on tax considerations affecting executive and equity compensation.

Ms. Ustupski also represents companies and executives in the design and implementation of employment agreements and executive compensation and benefit arrangements, including deferred compensation and equity-based compensation plans.

Ms. Ustupski received her law degree from the Chicago-Kent College of Law and her undergraduate degree cum laude from Loyola University Quinlan School of Business.
