Nicholas A. Portillo is an Associate in Vedder Price’s Chicago office and a member of the firm’s Investment Services group.

Mr. Portillo represents clients in the investment management industry, including mutual funds, exchange-traded funds (ETFs), closed-end funds, fund independent directors and investment advisers. Mr. Portillo has represented clients on a wide range of legal, compliance, business, operational, governance and transactional matters, including the following:

  • Independent Director Oversight—Advising fund independent directors on all aspects of their oversight responsibilities, including fiduciary duties, conflicts of interest and governance
  • Fund Board Meetings—Advising funds and investment advisers in connection with board meeting preparation and administration
  • Regulatory/Compliance Matters—Counseling clients on regulatory and compliance matters, including addressing compliance with new rulemakings, drafting and reviewing compliance policies and procedures and resolving complex compliance and operational issues
  • Fund Formation—Advising clients on fund formation and structuring for mutual fund, ETF and closed-end fund launches, including corporate organization, SEC registration and issuance
  • SEC Filings—Handling all aspects of fund filings with the SEC, including registration statements and supplements, shareholder reports and proxy statements
  • Transactions and Liquidations—Advising clients on transactional matters, including fund mergers and reorganizations, as well as advising clients on fund liquidations and terminations

Mr. Portillo earned his law degree from Loyola University Chicago School of Law and his undergraduate degree in organizational psychology and history from the University of Illinois at Urbana-Champaign.

While in law school, Mr. Portillo served as an associate editor for the Loyola University Chicago International Law Review and represented Loyola University Chicago School of Law at the Clara Barton International Humanitarian Law Competition in Washington D.C. and at the Willem C. Vis International Commercial Arbitration Moot in Hong Kong.
