Mr. Eager focuses his practice on legal and compliance matters for investment advisers and unregistered investment vehicles, including private equity funds, hedge funds, funds of funds, venture capital funds, continuation funds, special situation funds and other investment entities. He advises clients on all aspects of private fund formation, including structuring, marketing and side letter negotiations, and top-level structuring of investment advisers and general partners, including governing documents, employment matters and restrictive covenants, incentive awards and ongoing compliance. Mr. Eager also routinely represents investors and limited partners, including large family offices and institutional clients, in structuring, making and monitoring their investments in private investment vehicles. In addition, he provides advice on investment transactions including joint ventures, co-investments, and GP-led secondary transactions.

Mr. Eager also represents U.S.-registered investment companies and funds, their boards of directors/trustees, and investment advisers in regulatory compliance and governance matters under U.S. securities laws.  In addition, he regularly participates in board and committee meetings, providing advice on board governance, and fund compliance and regulatory matters.

In addition, Mr. Eager also serves as independent legal counsel to independent trustees/directors of investment company fund complexes and advises boards on obligations in connection with fund mergers, liquidations and other significant transactions.

Prior to joining Vedder Price, Mr. Eager worked at a Big 4 public accounting firm where he performed tax due diligence and structuring for domestic and cross-border mergers and acquisitions, dispositions, and restructuring transactions for private equity and multinational corporate clients.  During law school, Mr. Eager interned for the Securities and Exchange Commission (SEC).  At the SEC, he worked in the Division of Enforcement where he conducted investigations into various securities violations including insider trading, internal controls issues and fraud.  During law school, Mr. Eager also interned for the Honorable Joel M. Cohen of the New York State Supreme Court.

Mr. Eager received his law degree from The George Washington University Law School, his graduate degree in taxation from Villanova University and his undergraduate degree summa cum laude in accounting from Seton Hall University.
