Vedder Price is pleased to announce that it advised founders and shareholders, Martin and Amanda Port, on the sale of BigChange, a leading field service management software company for the service and transport sectors, to Simpro Group in a transaction led by private equity firm Great Hill Partners. This transaction follows the long-term relationship built over many years which includes the original MBO of Big Change to Great Hill Partners in 2021 subsequent to which Martin Port was elevated to Chairman.
"We are thrilled to recognise Andrew Harris and his dedicated team at Vedder Price for their exceptional guidance and commitment throughout this transaction," said Martin Port, founder of BigChange. "Andrew’s insight and expertise have been invaluable, and his team's efforts to secure this deal reflect their high standards and focus on client success. This sale marks an exciting chapter for BigChange, one that builds on years of dedicated partnership with Vedder Price, positioning us strongly for the future alongside Simpro Group."
“We were delighted to be involved in this important milestone in the company’s future, having seen the tremendous commitment, dedication and focus on client service of Martin and Amanda as they have grown the business from a start-up” said Andrew Harris, Vedder Price European Head of Corporate and Private Equity, who led the team on the transaction which included UK associate Arthur Caplin, US partner Shelby Parnes and US counsel Christopher Barrett.
Andrew added that “we never doubted Martin’s ambition to build a unicorn and believe that this move now puts them in an outstanding position for further growth.” Since being established in 2013, BigChange has served over 2,300 companies with its software services, receiving notable recognitions, including a Queen’s Award for Innovation in 2020.
