Mitchell D. Cohen is a Shareholder in the New York office of Vedder Price and serves as Chair of the New York Litigation group and Co-Chair of the firm's Creditors' Rights and Collections group.
He focuses his practice on counseling clients in the finance, real estate, construction, equipment leasing and transportation industries regarding a broad range of finance and leasing transactions, bankruptcy and restructuring matters, and related litigation.
Mr. Cohen is a recognized leader in the equipment finance and asset-based lending industries. He advises equipment finance and leasing companies, financial institutions, asset-based lenders and other lenders in leasing, finance and foreclosure matters related to heavy equipment and machinery, taxi medallions, commercial real estate and other assets. He also represents asset-based lenders; and equipment leasing and finance clients as secured and unsecured corporate creditors in bankruptcy and insolvency proceedings throughout the United States. Mr. Cohen is a frequent speaker on various topics relating to the equipment leasing and finance industry. He has served on numerous committees for the Equipment Leasing and Finance Association (ELFA), the industry’s leading trade association.
Mr. Cohen has extensive experience advising clients on a wide range of transactions, including mergers and acquisitions, private equity deals, and public offerings. In terms of his private equity experience, he has represented private equity sponsors and their portfolio companies in a wide array of business disputes and M&A post-closing disputes. Mr. Cohen has advised on leveraged buyouts, growth equity investments, and other types of private equity deals. He also has experience counseling buyers and sellers in negotiating and structuring complex transactions.
Overall, Mr. Cohen’s private equity experience has been a key component of his practice and has allowed him to provide his clients with a deep understanding of the legal and business issues involved in these types of transactions.
Mr. Cohen also serves as outside general counsel to a large, diverse set of companies and financial institutions, providing day-to-day advice and service on a broad range of legal issues in the finance, real estate, equipment, healthcare and construction industries. Clients look to him for experienced, pragmatic guidance, balancing business considerations with legal considerations and budgeting. As outside general counsel to his clients, Mr. Cohen has deep knowledge of the services offered by attorneys in the firm and quickly connects clients to the right teams of lawyers to add value and achieve their objectives. His responsiveness, practicality, attention to detail, and ability to deftly manage delicate situations have allowed him to build strong relationships. Mr. Cohen has become a trusted advisor and partner whose clients rely on him for his business judgment as much as his legal acumen.
Mr. Cohen is also a seasoned and effective litigator with experience in all areas of commercial litigation, fraud and contract disputes, antitrust class action defense, construction litigation, and bankruptcy-related litigation, as well as in lease enforcement matters and the enforcement of judgments. He has represented clients in all phases of litigation before U.S. federal and state courts, from injunctions to trials and appeals.
