Corporate Transparency Act Update – Fifth Circuit Reverses Decision, Reinstates Nationwide Injunction
As we recently reported, on December 23, 2024, a three-judge panel of the Fifth Circuit Court of Appeals granted the Government’s motion to stay enforcement of the nationwide injunction issued by the district court in the Texas Top Cop Shop litigation. On December 26, 2024, the full Fifth Circuit reversed the three-judge panel and reinstated the nationwide injunction, halting the enforcement of the CTA. As a result, reporting companies are once again relieved of any requirement to file BOI reports. For now, the nationwide injunction will remain in place until at least the conclusion of the appeal in the Texas Top Cop Shop case. Vedder Price will continue to closely monitor the Texas Top Cop Shop case and other CTA-related litigation and provide periodic updates. Please do not hesitate to contact any member of Vedder Price’s CTA Working Group with any questions.
