William Bettman and Philip Mowery to Present at PLI's Acquiring or Selling the Privately Held Company 2014 Seminar
Vedder Price Shareholders William Bettman and Philip Mowery will speak at the upcoming Practising Law Institute's Acquiring or Selling the Privately Held Company 2014 conference, which will take place on May 20 – 21 at the University of Chicago Gleacher Center in Chicago, Illinois. The annual conference is designed to inform attendees of the financial, business and legal considerations associated with acquiring and selling a privately held company of any size. A variety of topics will be covered over the course of the two-day seminar, such as analyzing acquisition agreement terms, understanding fiduciary duties of directors, shareholders and key individuals in a sale transaction, and recognizing ethical issues that arise during the negotiation and documentation of transactions.
Mr. Bettman and Mr. Mowery's sessions will focus primarily on how to identify and resolve non corporate law issues that may arise during the acquiring or selling of a privately held company. Mr. Bettman's program will highlight various labor and employment considerations, including employment differences in stock vs. asset transactions, immigration issues in the M&A context, union issues and how to prevent labor-related risks and liabilities. Mr. Mowery's program will discuss employee benefit issues such as transferring plan assets, how to utilize surplus plan assets and ESOPs, and understanding the integration of seller's and buyer's plans, as well as highlighting specific ERISA liabilities that may arise.
