With regard to fund formation, our attorneys represent general partners and limited partners in the formation of private equity funds, venture funds, mezzanine funds, leveraged-buyout funds, real-estate funds, specific industry funds and fund of funds. We work closely with other lawyers in the firm who focus on tax, securities, ERISA and government regulatory matters to ensure that these funds, as well as their management companies and advisers, are structured to achieve the business, tax and investment goals of their investors.

We also advise funds with respect to management fee and profit-and-loss allocation issues, employment arrangements, fiduciary obligations and investor-related matters.

Additionally, we evaluate various regulatory requirements that may apply to the management company (including compliance with the Investment Advisers Act) and register management companies with the SEC as investment advisers, to the extent required. We also assist firms in developing customized compliance policies and procedures.
