Global Transportation Finance Shareholder Edward K. Gross recently co-authored the “Leases” article included with a collection of Uniform Commercial Code (UCC) survey articles in the Fall 2023 edition of The Business Lawyer.

The UCC survey is published annually, and the articles generally cover case law and statutory developments during the previous year with respect to the spectrum of commercial law matters governed by the UCC. The “Leases” article discusses several 2022 cases involving disputes among parties to equipment leases or other personal property financings and cases involving third parties claiming to have related rights or interests.

The courts in these cases considered many of the fundamental issues often raised by parties and others when litigating commercial enforcement, bankruptcy protections, and other claimed rights, including the associated rights and interests and liability considerations, relating to equipment leases and financings. The article includes case law summaries involving various core leasing and financing issues, including “True Leases” and “Lease Damages”, each contributed by Mr. Gross, and “Vicarious Liability,” “Forum Selection Clauses,” “Hell or High Water Clauses” and “Rights of Assignees,” contributed by his co-authors.
