Richard L. Thomas, a partner in the London office of Vedder Price and a member of the firm's Finance & Transactions practice group, serves as General Editor for Company Law in Europe and author of the UK division, with assistance from solicitors Jonathan Edgelow and Lydia Sadler. This two-volume loose-leaf publication (with several service issues per year) provides a summary of the most important aspects of the company laws of 36 European jurisdictions, including practice, procedure and formalities. It examines the laws of each country and includes a separate chapter that details the impact of European Community law on the harmonization of company law in the member states.
Company Law in Europe is divided into separate divisions for each country, and each division follows the same sequence, making it easy to compare specific aspects of company law from country to country. Each division covers the following topics: types of company and incorporation; share capital and shareholders' rights; management and administration; accounts and audit; taxation; insolvency and liquidation; regulatory issues; publicly available information; acquisitions and joint ventures; and investment regulation.
